Terms & Conditions for Audio Deal Registration

All Deal Registrations (as defined below) are subject to these terms & conditions for Jabra’s Deal Registration Program (the “Terms & Conditions”). By registering a potential deal activity on the Audio Deal REGISTRATION WEBFORM the distributor or authorized reseller (the “Applicant”) accepts these Terms & Conditions by and between the respective Applicant and GN Audio UK Limited including its affiliates ("Jabra”).

Purpose. The purpose of the Deal Registration Program is for the Applicant to seamlessly apply for deal registration for a new specific commercial opportunity to sell Jabra enterprise products to a single consumer (an End Customer) who does not intend to resell the product to a third party through a single sale (a “Deal”) or project roll out within the same fiscal year as the registered deal. Project roll out claims/orders must be 50 units or more, and catalogue run rate orders will not qualify. For Evolve2 75 and Evolve2 85, the 50‑unit minimum threshold for Standard Deal Registration is removed. These models are eligible for the Standard 10% rebate on any quantity. The additional 10% net‑new/competitive swap‑out rebate applies only to orders of 50 units or more (subject to approval and all other Program conditions). The Deal Registration Program is valid from 1st January 2026 until the 31st December 2026. To qualify for the additional net new/competitive swap 10% Q1 rebate, all approved Q1 deals must be shipped and invoiced on or before 30 June 2026.

Eligibility. Any contracted distributor or authorized resellers (i.e. a reseller that has accepted Jabra’s Indirect Reseller Terms and Conditions) of Jabra enterprise products/services is eligible to participate in the Deal Registration Program. Non-authorized resellers as well as distributors or resellers of other Jabra products (e.g., consumer or SteelSeries products) are not eligible for participation in the Deal Registration Program. If the Applicant is a distributor, such distributor may not submit a Deal Registration (as defined below) in its own name only and shall only submit a Deal Registration (as defined below) on behalf of an authorized reseller (as specified on the registration form). If the Applicant is an authorized reseller, such authorized reseller must identify a minimum of one distributor when submitting the Deal Registration (as defined below).

Minimum Deal requirements. To be eligible for deal registration the deal must be new and the overall requirement must be for a minimum of 50+ units. This applies to all audio solutions and extended warranties. Please note that BlueParrott products, VXi products, any products that are EOL or EOM and accessories are excluded from this programme.. The Deal must represent a commercial opportunity with a single End Customer. The Applicant cannot combine or accumulate various commercial opportunities or various End Customer accounts into one Deal. The Applicant must separately register any Deals for additional or separate business opportunities. For avoidance of doubt reaching either of the minimum Deal requirements does not automatically qualify the Deal to be approved by Jabra.

Submission of Deal registration. The Applicant must submit a Deal registration application (the “Deal Registration”) by filling out the registration form on the Portal with accurate, truthful, and complete Deal information and documentation. The Applicant warrants, represents, and covenants that the information and documentation provided in the registration form is, to the best of its knowledge, accurate, truthful and complete. Any violation of this clause will automatically void the Deal Registration. In the event that the Applicant has provided inaccurate, wrongful, misleading or fraudulent information, Jabra reserves all rights.

Additional information. Jabra may at any time request additional information or documentation from the Applicant. The Applicant shall provide any such additional information or documentation to Jabra without undue delay and in any event within 5 business days of receipt of such request from Jabra. Jabra also reserves the right to reach out directly to the End Customer of the Deal with any questions Jabra may have. In the event that Jabra requests End Customer information or documentation, any personal data or pricing information contained in the requested information and documentation must be redacted before being shared with Jabra.

Approval process. Any Deal Registration is subject to review and approval by Jabra. Jabra may at its sole discretion for any reason reject the Deal Registration. The Applicant will be notified on e-mail as to whether the Deal Registration is approved or rejected by Jabra. Jabra will strive to notify the Applicant within 2 business days from the submission of the Deal Registration on the Portal, but the Applicant acknowledges and accepts that longer processing times may occur.

Upon approval. Upon approval of the Deal Registration, Jabra will notify the Partner by e-mail that the deal registration is approved, and deal has been registered, or that the deal registration has been declined.

Term of Deal Registration. Unless otherwise stated, upon notification of acceptance of the Deal Registration the Applicant has 90 days from receipt of notice of the approval of the Deal Registration to close the Deal by entering into a separate binding sales agreement with the End Customer for the products covered by deal registration. Jabra may at its sole discretion provide an extension.

Distributor pricing. Any Applicant submitting a Deal Registration acknowledges and accepts that there will be no transactions between Jabra and any authorized reseller. Further, the authorized reseller acknowledges and agrees that in the event that the Deal Registration is approved (i) Jabra may disclose certain or all of the information/documentation provided by the Authorized Reseller to Jabra in connection with the Deal Registration to the distributor(s) identified in the Deal Registration, (ii) any pricing and other commercial terms shall be agreed separately between the distributor and the authorized reseller. JABRA SHALL IN NO EVENT BE LIABLE FOR THE DISTRIBUTOR’S PRICING AND OTHER COMMERCIAL TERMS TO THE AUTHORIZED RESELLER.

Changes. Jabra reserves the right to make changes to the Jabra Deal Registration Program and these Terms & Conditions at any time.

Disclaimer. THE APPLICANT ACKNOWLEDGES AND ACCEPTS THAT JABRA MAY FOR ANY REASON REJECT ANY DEAL REGISTRATION, IS DETERMINED SOLELY BY JABRA. FURTHER, JABRA RESERVES THE RIGHT TO CANCEL OR WITHDRAW ANY DEAL REGISTRATION ISSUED. IF JABRA HAS REASON TO BELIEVE THAT THE APPLICANT HAS PROVIDED INCORRECT, FRAUDULENT, OR MISLEADING INFORMATION OR DOCUMENTATION OR IS OTHERWISE IN BREACH OF THESE TERMS & CONDITIONS.

Exclusivity. SUBMISSION OF A DEAL REGISTRATION DOES GRANT EXCLUSIVITY However, in certain circumstances, GN Audio UK may grant registrations to multiple Partners for the same deal, if Jabra UK determines it is required by local laws.

Applicable law and venue. These Terms & Conditions shall be governed by the laws of Denmark without reference to its choice of laws rules or CISG. Copenhagen, Denmark shall be the exclusive jurisdiction of any venue in the courts with respect to any claim, action or proceeding arising out of or in connection with these Terms & Conditions and the Jabra Deal Registration Program.
